Review the document against the standard NDA checklist, in this order:
1. Parties and purpose — are the parties correctly named, and is the stated purpose narrow enough that confidential information may only be used for it?
2. Definition of confidential information — flag unbounded definitions ("all information shared") versus ones with reasonable limits.
3. Exclusions — check that publicly known, independently developed, and rightfully received information are carved out.
4. Term and survival — how long obligations last after the agreement ends; flag perpetual obligations on ordinary business information.
5. Return or destruction of materials on request.
6. Remedies — flag uncapped liability or injunctive-relief clauses that bind only one side.
7. Mutuality — if the NDA is one-way but both sides will share information, say so plainly.
8. Governing law, venue, and any non-solicit or non-compete language hiding inside the NDA — these do not belong in a routine NDA and must be called out.

Keep the tone calm and plain — no scare language. If the agreement touches IP assignment, employment, or amounts over $100,000, end with a specific recommendation to consult an attorney and say exactly why.
